Understand the risks
We'd rather you understand exactly what you're considering than be sold a story. Secured lending can reduce risk compared with unsecured lending — but it is still investing, and investing can lose money. Here is a straight rundown.
Risk factors
You can lose money, including your entire investment
Every investment carries risk. Borrowers can default, and if the collateral sells for less than what's owed, investors who funded that loan can lose part or all of their money. Collateral is designed to reduce loss severity — it does not guarantee any outcome.
This is an early-stage company
MarketLoan is a pre-launch product being built by Black Forest Holdings LLC. It has not yet launched, has no operating history, and may change substantially — or may never launch at all. Any investment associated with it would remain an obligation of an early-stage company.
Valuations and asset prices can move
Collateral is valued by independent professionals, but appraised value is an estimate, and the price an asset actually fetches in a sale can be lower — especially in a soft market or a forced sale. Recoveries can fall short of the loan amount.
Your investment may be illiquid
There may be no way to sell or exit an investment before a loan is repaid. You should be prepared to have your money committed for the full term.
Recovery on a default can take time
If a borrower defaults, liquidating collateral and distributing proceeds takes time, and the amount and timing of any recovery are not guaranteed.
The product and its regulatory status are still being finalized
The way investors will fund loans is in development and intended to be offered under Rule 506(c) of Regulation D, to verified accredited investors only. Availability of the exemption is not assured, the structure may change, and the product may never come to market.
It is not a bank deposit and is not insured
Investing through MarketLoan is not a savings account or a bank deposit. It is not FDIC-insured, and no party guarantees a return of or on your money.
